These Terms and Conditions govern participation in the Nustone Affiliate Programme, operated by Nustone Patios Ltd (United Kingdom) ("Nustone", "we", "our", or "us"). By applying to or participating in the Nustone Affiliate Programme, you ("Affiliate", "you", or "your") agree to be bound by the terms outlined below.

1. Programme Overview

The Nustone Affiliate Programme enables approved partners to earn commission by referring customers to purchase products through the official Nustone website using an authorised affiliate referral code.

Participation in the programme is subject to approval and ongoing compliance with these Terms and Conditions.

2. Application and Approval

All affiliate applications are reviewed manually.

Nustone reserves the sole and absolute discretion to:

• approve or reject any application,
• request additional information,
• suspend or terminate participation at any time.

Approval into the programme does not create any employment, partnership, or agency relationship.

3. Affiliate Accounts and Eligibility

Trade accounts and affiliate accounts operate independently.

Where a trade customer is also approved as an affiliate:

• both accounts must remain separate,
• purchases made while logged into a trade account will not qualify for affiliate commission.

Affiliates may use their own referral code only when purchasing through:

• guest checkout, or
• standard customer login.

Affiliate codes cannot be applied while logged into a trade account.

4. Referral Tracking

Affiliate referrals are tracked using unique affiliate promo codes issued by Nustone.

Commission eligibility requires:

• valid use of the affiliate code,
• completion of checkout through approved channels,
• successful payment and order fulfilment.

Nustone is not responsible for commissions lost due to incorrect code usage or customer failure to apply referral codes.

5. Commission Structure

Commission rates are determined under Nustone's tiered affiliate structure and may be updated periodically.

Commission applies only to qualifying orders meeting programme requirements, including minimum order value thresholds.

Affiliate promo codes:

• apply to all eligible products including sale items,
• cannot be combined with any other promotional or discount offers,
• apply only to orders meeting the minimum qualifying value set by Nustone.

6. Commission Validation and Payment

Commission is calculated monthly based on completed orders between the 1st and last calendar day of each month.

Approved commissions are paid on or around the 20th of the following month, or the next working day where applicable.

Commission becomes payable only after orders are:

• completed,
• delivered,
• and cleared of cancellation or refund requests.

7. Refunds, Cancellations and Adjustments

If a referred order is cancelled, partially refunded, fully refunded, or otherwise adjusted:

• associated commission may be reduced or removed,
• affected orders may move under review within the affiliate dashboard.

Where commission has already been paid on orders later refunded or adjusted, Nustone reserves the right to deduct or reconcile such amounts from future affiliate payouts.

8. Affiliate Responsibilities and Conduct

Affiliates agree to promote Nustone responsibly and ethically.

The following activities are strictly prohibited:

• bidding on Nustone brand keywords or variations in paid advertising,
• impersonating or representing themselves as Nustone,
• misleading pricing or discount claims,
• unsolicited spam promotion,
• unauthorised paid advertisements using Nustone branding,
• fraudulent, self-referral manipulation, or artificial transactions.

Nustone reserves the right to pursue suspension, commission forfeiture, or legal action where violations occur.

9. Commission Review and Withholding

Nustone reserves sole discretion to approve, reject, adjust, delay, or withhold commission where activity is deemed:

• invalid,
• fraudulent,
• self-serving,
• commercially unreasonable,
• or in breach of programme terms.

Investigations may temporarily delay payouts where necessary.

10. Programme Modifications

Nustone reserves the right to modify or update at any time:

• commission rates,
• tier thresholds,
• incentives,
• eligibility criteria,
• programme structure.

Reasonable notice will be provided where practical.

Continued participation constitutes acceptance of updated terms.

11. Intellectual Property

Affiliates may use approved Nustone branding or marketing assets solely for authorised promotional purposes.

All intellectual property rights remain the exclusive property of Nustone Patios Ltd.

Unauthorised use of branding or materials is prohibited.

12. Termination

Nustone may suspend or terminate affiliate participation at any time without prior notice where programme terms are breached.

Affiliates may withdraw from the programme at any time by written notice.

Outstanding commissions remain subject to validation requirements.

13. Limitation of Liability

Nustone shall not be liable for indirect, incidental, or consequential losses arising from participation in the Nustone Affiliate Programme.

Participation is undertaken at the affiliate's own commercial risk.

14. Data Protection

Affiliate participation and customer referrals are handled in accordance with applicable UK data protection laws and Nustone's Privacy Policy.

15. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United Kingdom.

Any disputes arising shall be subject to the exclusive jurisdiction of UK courts.
